If you do not agree, do not use the Services.<\/p>\r\n<p class=\"cl\"><strong>1.4<\/strong> If you are acting for a company, agency, or club, you confirm you can bind it, and \"you\" means both you and that organization.<\/p>\r\n<p class=\"cl\"><strong>1.5<\/strong> Our <a href=\"\/blog\/privacy-policy\/\">Privacy Policy<\/a> and <a href=\"\/blog\/cookies-policy\/\">Cookies Policy<\/a> form part of these Terms. If we sign a separate order form or enterprise agreement with you, that document wins over these Terms where they conflict.<\/p>\r\n<p class=\"cl\"><strong>1.6<\/strong> In these Terms, \"<strong>Business User<\/strong>\" means anyone using the Services for a trade or profession, including travel advisors, agencies, tour and driving tour operators, car clubs, and corporate travel teams. \"<strong>Consumer User<\/strong>\" means an individual using the Services for personal or household purposes. \"<strong>End Client<\/strong>\" means a traveler or member a Business User serves. \"<strong>User Content<\/strong>\" means anything you create or store in the Services. \"<strong>Output<\/strong>\" means content our AI generates for you.<\/p>\r\n<h2 id=\"s2\">2. Your Account<\/h2>\r\n<p class=\"cl\"><strong>2.1<\/strong> You must be 18 or older to open an account and buy a plan. The Services are not directed to children.<\/p>\r\n<p class=\"cl\"><strong>2.2<\/strong> Give us accurate information and keep it current. One account is for one person. Do not share credentials or register by automated means.<\/p>\r\n<p class=\"cl\"><strong>2.3<\/strong> You are responsible for activity under your account. Email <a href=\"mailto:hello@geovea.com\">hello@geovea.com<\/a> promptly if you think it has been accessed without your permission.<\/p>\r\n<p class=\"cl\"><strong>2.4<\/strong> We may offer free accounts, trials, and promotions, and may change or withdraw them at any time. We may limit each person or organization to one trial.<\/p>\r\n<p class=\"cl\"><strong>2.5<\/strong> You can delete your account at any time at geovea.com\/delete_account or by emailing us. Section 10 explains what happens to your content.<\/p>\r\n<h2 id=\"s3\">3. What Geovea Is, and What It Is Not<\/h2>\r\n<p><strong>Please read this section carefully. It is the most important one here.<\/strong><\/p>\r\n<p class=\"cl\"><strong>3.1 We are a planning tool.<\/strong> We help you find places, build map based trips, sequence stops, estimate drive times, assemble itineraries and roadbooks, and share them. That is all we provide.<\/p>\r\n<p class=\"cl\"><strong>3.2 We are not a travel provider.<\/strong> Geovea is not a travel agency, tour operator, seller of travel, transportation or accommodation provider, event organizer, or insurer. We do not book, reserve, sell, or resell flights, hotels, cars, restaurants, tours, or activities, we do not take payment for them, and we do not act as your agent or as agent for any supplier. Any booking you make is solely between you and that supplier on their terms, even if you reached them through a link, listing, or Output in the Services, and even if that link earns us a commission under Section 3.3.<\/p>\r\n<p class=\"cl\"><strong>3.3 Affiliate links and commissions.<\/strong> Some links in the Services to hotels, accommodation, services, activities, tours, and other travel products are affiliate links. If you follow one and make a booking or purchase, we may receive a commission from that supplier or from an affiliate network.<\/p>\r\n<ul>\r\n<li><strong>It costs you nothing.<\/strong> You pay the supplier's normal price. A commission is paid by the supplier out of its own margin, not added to your bill.<\/li>\r\n<li><strong>We are still not selling you the travel.<\/strong> A commission does not make us the seller, the agent, or a party to your booking. Section 3.2 applies in full.<\/li>\r\n<li><strong>It does not buy a recommendation.<\/strong> Whether a supplier pays us a commission plays no part in whether it appears in the Services, where it appears, or how it is ranked or ordered. That holds everywhere, including in search results, listings, Trip Ideas, The Daily Feed, and anything our AI tools generate. Nobody can pay us for placement or prominence.<\/li>\r\n<li><strong>Affiliate networks track referrals.<\/strong> Following an affiliate link may set cookies or pass tracking parameters so the supplier can attribute the referral. Our <a href=\"\/blog\/cookies-policy\/\">Cookies Policy<\/a> explains this and how to control it.<\/li>\r\n<li><strong>We are not responsible for what happens next.<\/strong> Suppliers we link to are third parties. Their price, availability, quality, safety, licensing, insurance, cancellation terms, and treatment of your data are theirs, not ours.<\/li>\r\n<\/ul>\r\n<p class=\"cl\"><strong>3.4 Verify before you travel.<\/strong> Place details, hours, prices, addresses, coordinates, ratings, road classifications, routes, and drive time estimates come from our own database, from AI, and from third party sources. They change constantly and can be wrong. Flight, boat, and ferry segments are shown as straight lines and are not real routes or schedules. Confirm anything that matters before you rely on it.<\/p>\r\n<p class=\"cl\"><strong>3.5 Driving and safety.<\/strong> Many Geovea trips are drives, including road trips, self drive itineraries, driving tours, rallies, and car club runs. You agree that:<\/p>\r\n<ul>\r\n<li>routes, sequences, and pacing we produce are suggestions only, and are not a representation that a road is legal, open, passable, safe, or suitable for your vehicle;<\/li>\r\n<li>roads may be closed, seasonal, unpaved, restricted, weight or height limited, private, or unsuitable for low clearance or high performance vehicles;<\/li>\r\n<li>you will obey all traffic laws and speed limits, and nothing in the Services encourages speeding, racing, or convoy behavior that obstructs traffic or endangers anyone;<\/li>\r\n<li>you will not interact with the Services while driving;<\/li>\r\n<li>driving and travel carry inherent risks that you voluntarily accept; and<\/li>\r\n<li>your vehicle, licensing, permits, insurance, and fitness to drive are your responsibility.<\/li>\r\n<\/ul>\r\n<p class=\"cl\"><strong>3.6 Your travel readiness.<\/strong> Passports, visas, entry and exit requirements, customs, health requirements, travel insurance, local laws, and government advisories are your responsibility. Nothing in the Services is legal, financial, tax, medical, insurance, or professional travel advice.<\/p>\r\n<h2 id=\"s4\">4. Plans, Billing, and Renewal<\/h2>\r\n<p class=\"cl\"><strong>4.1 Plans.<\/strong> Current plans, prices, inclusions, and limits are published at <a href=\"\/pricing_cs\">geovea.com\/pricing_cs<\/a> (consumer) and <a href=\"\/pricing\">geovea.com\/pricing<\/a> (travel professional). Those pages control. Consumer plans are billed monthly or annually. Travel professional plans are billed monthly or annually, and Agency plans are billed per seat. Enterprise arrangements are quoted separately.<\/p>\r\n<p class=\"cl\"><strong>4.2 Limits.<\/strong> Plans carry limits on active trips, destinations and events per trip, stored items, and monthly AI allowances. Monthly allowances reset each billing month and do not roll over. We may block further creation once you hit a limit until you delete items or upgrade. We may also act against abnormal, automated, or abusive consumption, and will contact you first unless immediate action is needed.<\/p>\r\n<p class=\"cl\"><strong>4.3 Prices and tax.<\/strong> Prices are in US dollars and exclude sales tax, VAT, GST, HST, and QST, which we add where we must collect them. Bank charges and foreign transaction fees are yours.<\/p>\r\n<p class=\"cl\"><strong>4.4 Payment.<\/strong> Payments are processed by <strong>Stripe, Inc.<\/strong> We do not store full card numbers. You authorize us and Stripe to charge your payment method for all amounts due, including renewals, taxes, and added seats.<\/p>\r\n<p class=\"cl\"><strong>4.5 Automatic renewal.<\/strong> <strong>Paid plans renew automatically.<\/strong> Unless you cancel before your current term ends, your plan renews for another term of the same length at the then current price.<\/p>\r\n<p class=\"cl\"><strong>4.6 Trials.<\/strong> A trial taken without a payment method will not convert until you provide one and agree to the charge.<\/p>\r\n<p class=\"cl\"><strong>4.7 Price changes.<\/strong> We will give you at least 30 days notice by email before a price or plan change applies to you, and it takes effect at your next renewal. Cancel before that renewal if you do not accept it.<\/p>\r\n<p class=\"cl\"><strong>4.8 Failed payments.<\/strong> We may retry, suspend paid features, and eventually terminate the plan. You still owe what you owe.<\/p>\r\n<p class=\"cl\"><strong>4.9 Seats.<\/strong> Seats are per named individual and cannot be shared. Seats added mid term are billed pro rata and renew with the subscription. Reductions take effect at the next renewal.<\/p>\r\n<h2 id=\"s5\">5. Cancellation and Refunds<\/h2>\r\n<p class=\"cl\"><strong>5.1 How to cancel.<\/strong> Cancel any time through your plan management page or the Stripe billing portal linked from our pricing pages, or by emailing hello@geovea.com. Cancellation takes effect at the end of your current paid term.<\/p>\r\n<p class=\"cl\"><strong>5.2 After cancellation.<\/strong> You keep paid features until the end of the term you paid for. After that, paid features stop and content that depends on them may become inaccessible. <strong>Export what you want to keep before your term ends.<\/strong> PDF itinerary export works while your plan is active.<\/p>\r\n<p class=\"cl\"><strong>5.3 Refunds.<\/strong> Except where these Terms or the law require otherwise, <strong>fees are non refundable and we do not credit partial periods or unused time.<\/strong> Cancelling stops future charges, it does not refund past ones.<\/p>\r\n<p class=\"cl\"><strong>5.4 When we will refund.<\/strong> We refund you where the law requires it, where we terminate your account without cause under Section 10.3 (pro rata on the unused prepaid portion), where we materially cut the features of your plan mid term and you cancel because of it, or where you were charged in error.<\/p>\r\n<p class=\"cl\"><strong>5.5 EEA and UK consumers.<\/strong> You may withdraw from your purchase within <strong>14 days<\/strong> without giving a reason, by emailing <a href=\"mailto:hello@geovea.com\">hello@geovea.com<\/a> with a clear statement to that effect. If you asked us to start supplying during that period, we may charge a proportionate amount for what you used. We refund within 14 days using your original payment method.<\/p>\r\n<p class=\"cl\"><strong>5.6 Canada.<\/strong> Nothing here limits your rights under applicable federal or provincial consumer protection law, including rights on unfair practices, automatic renewals, and cancellation. Where provincial law gives you a better right than this Section, that law applies.<\/p>\r\n<p class=\"cl\"><strong>5.7 Before a chargeback.<\/strong> Contact us at <a href=\"mailto:hello@geovea.com\">hello@geovea.com<\/a> first. We will try to fix it quickly.<\/p>\r\n<h2 id=\"s6\">6. Acceptable Use<\/h2>\r\n<p>You will not, and will not let anyone else:<\/p>\r\n<ol>\r\n<li>use the Services unlawfully, deceptively, or to infringe anyone's rights;<\/li>\r\n<li>scrape, crawl, harvest, or systematically extract our content or third party content, including our points of interest database;<\/li>\r\n<li>use the Services or any Output to build, train, benchmark, or improve a competing product, dataset, model, or service;<\/li>\r\n<li>resell, sublicense, rent, or provide the Services to third parties, except through an Agency or white label plan we sold you for that purpose;<\/li>\r\n<li>reverse engineer or attempt to derive source code, prompts, or underlying data, except where that restriction is unenforceable by law;<\/li>\r\n<li>circumvent usage limits, rate limits, paywalls, authentication, or technical protections;<\/li>\r\n<li>access the Services by bots or scripts except through an interface we authorized in writing;<\/li>\r\n<li>interfere with, overload, or probe the Services or their infrastructure;<\/li>\r\n<li>upload malware, or content that is obscene, hateful, violent, sexually explicit, or that exploits minors;<\/li>\r\n<li>upload personal information about others without a lawful basis, or upload payment card numbers, government identifiers, or health information;<\/li>\r\n<li>use the Services to plan or promote illegal street racing, speed contests, trespass onto private or restricted roads, or anything that endangers others;<\/li>\r\n<li>impersonate anyone or imply an affiliation with Geovea that does not exist; or<\/li>\r\n<li>remove or obscure Geovea branding, attribution, or map and data provider attribution, except as your plan expressly allows.<\/li>\r\n<\/ol>\r\n<p>We may investigate suspected violations and remove content, limit features, suspend or terminate accounts, and cooperate with law enforcement.<\/p>\r\n<h2 id=\"s7\">7. Business Users, Agencies, and White Label<\/h2>\r\n<p class=\"cl\"><strong>7.1 Your licences.<\/strong> You confirm you hold every licence, registration, bond, insurance, and seller of travel registration your business needs, everywhere you operate. Geovea does not provide or substitute for any of them.<\/p>\r\n<p class=\"cl\"><strong>7.2 Your clients are yours.<\/strong> You are solely responsible for the accuracy, suitability, safety, and delivery of any trip, itinerary, roadbook, or proposal you produce with the Services, for your own advice, and for handling your End Clients' complaints, cancellations, refunds, and claims. Do not represent that Geovea designed, approved, verified, or insured anything you supply. Where a place or supplier surfaced in the Services is commissionable to us (Section 3.3), and you pass it to an End Client as your own recommendation, any disclosure your client relationship, professional body, or local law requires of you is yours to make.<\/p>\r\n<p class=\"cl\"><strong>7.3 End Client data.<\/strong> If you enter End Client personal information, you are the controller of it and we act as your processor. You are responsible for having a lawful basis and giving the notices and choices privacy law requires. Enter no more than you need. We will sign a data processing agreement where one is required.<\/p>\r\n<p class=\"cl\"><strong>7.4 Branding and white label.<\/strong> On plans that include branding or white labeling, we license you to display your name, logo, and colors on the surfaces we make available for it, and you license us to host and display those assets for that purpose. You confirm you own or are licensed to use them. You may not present the Services in a way suggesting you built the platform, and you may not remove attribution our map or data providers require. A discreet \"powered by Geovea\" mark is required unless your written agreement with us says otherwise.<\/p>\r\n<p class=\"cl\"><strong>7.5 Shared links.<\/strong> Share links and live trip links work for anyone holding the link and are not password protected. You choose who receives them and what goes in them.<\/p>\r\n<p class=\"cl\"><strong>7.6 Account administration.<\/strong> Administrators on Agency and enterprise plans can add and remove users and access content created under the account. The organization owns the account and the User Content in it, not the individual user.<\/p>\r\n<p class=\"cl\"><strong>7.7 Beta and dev.<\/strong> Features labeled beta, preview, or early access are provided as is, may change or be withdrawn, and carry no service commitment. dev.geovea.com is a development environment and is not for production use.<\/p>\r\n<h2 id=\"s8\">8. Your Content<\/h2>\r\n<p class=\"cl\"><strong>8.1<\/strong> You keep all rights in your User Content. We claim no ownership.<\/p>\r\n<p class=\"cl\"><strong>8.2<\/strong> You grant us a worldwide, non exclusive, royalty free licence to host, store, copy, transmit, adapt, reformat, and display your User Content solely to run, secure, support, and improve the Services for you, to produce Outputs you ask for, to generate the PDFs and shared links you create, and to comply with law. It ends when you delete the content or your account, apart from backup copies held for a limited period and copies we must keep by law.<\/p>\r\n<p class=\"cl\"><strong>8.3<\/strong> When you share a trip or link, you authorize us to display it to the recipients you choose or, for open links, to anyone holding the link.<\/p>\r\n<p class=\"cl\"><strong>8.4<\/strong> You confirm you have the rights to your User Content, that it infringes no one, and that it complies with Section 6.<\/p>\r\n<p class=\"cl\"><strong>8.5<\/strong> We are not a backup service and do not guarantee your content will be preserved. Keep your own copies of anything important.<\/p>\r\n<p class=\"cl\"><strong>8.6<\/strong> If you send us ideas, suggestions, or feature requests, we may use them freely, for any purpose, with no obligation to you.<\/p>\r\n<h2 id=\"s9\">9. AI Features<\/h2>\r\n<p class=\"cl\"><strong>9.1<\/strong> Our AI tools generate trip ideas, proposals, itineraries, descriptions, and map based plans from your prompts and our data, powered in part by third party AI providers.<\/p>\r\n<p class=\"cl\"><strong>9.2 Outputs are not verified.<\/strong> <strong>They are generated by statistical models and can be inaccurate, incomplete, outdated, or entirely fabricated.<\/strong> They may name places that do not exist, have closed, or have moved, and may state prices, hours, and distances that are wrong. Review and verify every Output before you rely on it, travel on it, or pass it to an End Client. Business Users must verify Outputs before putting them in client facing proposals or itineraries.<\/p>\r\n<p class=\"cl\"><strong>9.3 Ownership.<\/strong> Subject to your compliance with these Terms and to third party rights, we assign you the rights we hold in Outputs generated for you, and you may use them as these Terms permit, including in client facing materials on Business User plans.<\/p>\r\n<p class=\"cl\"><strong>9.4 Not exclusive.<\/strong> Outputs are not unique. Other users may receive similar or identical Outputs, we may generate and provide such Outputs to others, and Outputs may not be copyrightable in some places.<\/p>\r\n<p class=\"cl\"><strong>9.5 Prompts.<\/strong> Your prompts are User Content under Section 8. Do not enter confidential information or personal information you are not authorized to share. How inputs and Outputs are used, including by our AI providers, is described in our <a href=\"\/blog\/privacy-policy\/\">Privacy Policy<\/a>. We do not sell your User Content.<\/p>\r\n<p class=\"cl\"><strong>9.6<\/strong> Do not use AI features to generate unlawful, infringing, deceptive, or harmful content, to impersonate anyone, or to present Outputs as independently verified.<\/p>\r\n<p class=\"cl\"><strong>9.7 Commissionable places in Outputs.<\/strong> An Output may name a place or supplier we have an affiliate relationship with. Where that is the case we identify it, on the same terms as Section 3.3. An affiliate relationship plays no part in whether our AI tools surface a place or how prominently, and we do not weight, tune, or prompt them to favor commissionable suppliers. If you are a Business User passing an Output to an End Client, you are responsible for any disclosure your own client relationship, professional body, or local law requires of you. See Section 7.2.<\/p>\r\n<h2 id=\"s10\">10. Third Party Content, Suspension, and Termination<\/h2>\r\n<p class=\"cl\"><strong>10.1 Third party content.<\/strong> The Services include mapping, routing, geocoding, place, imagery, and editorial content from third parties, including Mapbox and other providers, and content aggregated in The Daily Feed. It belongs to those providers, comes on their terms, and may change or be withdrawn. Listings and links are not our endorsement of any business, place, road, or opinion. Your use of some features is also subject to the provider's own terms, including Mapbox's, our AI providers', and Stripe's, and you will not use provider data in ways their terms prohibit, such as bulk extraction or resale. Required attribution must stay visible. Sites we link to are not ours and are not our responsibility. Some of those links are affiliate links, as described in Section 3.3.<\/p>\r\n<p class=\"cl\"><strong>10.2 Suspension for cause.<\/strong> We may suspend or terminate your access immediately if you materially breach these Terms, if your use creates legal risk or harm, if you fail to pay, or if the law requires it. Where practical we will give you notice and a chance to fix it.<\/p>\r\n<p class=\"cl\"><strong>10.3 Termination without cause.<\/strong> We may discontinue the Services or a plan on at least 30 days notice, and will refund the unused prepaid portion of your term pro rata.<\/p>\r\n<p class=\"cl\"><strong>10.4 Your data afterwards.<\/strong> When a paid term ends without renewal, or your account is terminated, paid features and access to associated content stop. We keep your User Content for a <strong>30 day<\/strong> grace period during which you can reactivate or request an export, and may permanently delete it after that. Account deletions you request are handled as described in our <a href=\"\/blog\/privacy-policy\/\">Privacy Policy<\/a>. Business Users must retrieve End Client information before the grace period ends.<\/p>\r\n<p class=\"cl\"><strong>10.5 Availability.<\/strong> We aim to keep the Services up, but standard plans carry no service level commitment. Enterprise customers may negotiate one in writing. We may add, change, or remove features, subject to Section 5.4.<\/p>\r\n<p class=\"cl\"><strong>10.6 Support.<\/strong> Support is by email at hello@geovea.com. Priority email support is included on the plans that list it. Response times are targets, not guarantees.<\/p>\r\n<p class=\"cl\"><strong>10.7 Survival.<\/strong> Sections 3, 6, 8.2, 8.6, 9.2 to 9.4, 10.4, 11, 12, 13, 14, and 15 survive termination.<\/p>\r\n<h2 id=\"s11\">11. Intellectual Property<\/h2>\r\n<p class=\"cl\"><strong>11.1<\/strong> The Services, our software, our points of interest database, our compilations and curation, our designs, and all related intellectual property are owned by Geovea or our licensors. The Geovea name and logo are our trademarks and you may not use them without written permission, beyond factual references to the Services.<\/p>\r\n<p class=\"cl\"><strong>11.2<\/strong> Our places database and content compilations are protected as compilations and, where applicable, by database rights. Extracting substantial parts, or repeatedly extracting insubstantial parts, is prohibited.<\/p>\r\n<p class=\"cl\"><strong>11.3<\/strong> Subject to these Terms and payment of your fees, we grant you a limited, revocable, non exclusive, non transferable licence to use the Services for your own personal use (Consumer Users) or internal business use (Business Users), including delivering trips to your End Clients as Section 7 permits. We reserve all other rights.<\/p>\r\n<p class=\"cl\"><strong>11.4 Copyright complaints.<\/strong> If you believe content in the Services infringes your copyright, follow our <a href=\"\/blog\/copyright-takedown-policy\/\">Copyright Take-Down Notice<\/a> procedure. We respond consistently with the Digital Millennium Copyright Act and terminate repeat infringers.<\/p>\r\n<p class=\"cl\"><strong>11.5 Technical requirements.<\/strong> Full trip building is designed for desktop and laptop computers meeting our published browser and resolution requirements, and is not available on smaller screens. Viewing, navigating, and light editing work on mobile and tablet. Your devices and connectivity are your responsibility.<\/p>\r\n<h2 id=\"s12\">12. Disclaimers<\/h2>\r\n<p class=\"cl caps\"><strong>12.1<\/strong> TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, ALL CONTENT, AND ALL OUTPUTS ARE PROVIDED \"AS IS\" AND \"AS AVAILABLE,\" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON INFRINGEMENT, AND ACCURACY.<\/p>\r\n<p class=\"cl caps\"><strong>12.2<\/strong> WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR FREE, OR THAT ROUTES, DRIVE TIMES, MAPS, PLACE DATA, OR OUTPUTS ARE ACCURATE, CURRENT, COMPLETE, SAFE, LAWFUL, OR SUITABLE FOR YOUR PURPOSE, OR THAT ANY PLACE, ROAD, OR SUPPLIER SHOWN IS OPEN, AVAILABLE, LICENSED, INSURED, OR SAFE.<\/p>\r\n<p class=\"cl\"><strong>12.3<\/strong> Some jurisdictions do not allow these exclusions. Consumers in the EEA, the UK, and Canada keep their non waivable statutory rights, including that services be supplied with reasonable care and skill.<\/p>\r\n<h2 id=\"s13\">13. Limitation of Liability<\/h2>\r\n<p class=\"cl caps\"><strong>13.1<\/strong> TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEOVEA AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, TRIPS, OR ITINERARIES, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.<\/p>\r\n<p class=\"cl caps\"><strong>13.2<\/strong> WE ARE NOT LIABLE FOR ANY TRAVEL, DRIVING, VEHICLE, PERSONAL INJURY, DEATH, PROPERTY DAMAGE, DELAY, MISSED CONNECTION, CANCELLATION, DENIED ENTRY, FINE, OR OTHER LOSS ARISING FROM A TRIP PLANNED WITH THE SERVICES; FOR THE ACTS OR OMISSIONS OF ANY SUPPLIER, PLACE, OR THIRD PARTY; FOR RELIANCE ON ROUTES, DRIVE TIMES, PLACE DATA, THIRD PARTY CONTENT, OR OUTPUTS; OR FOR A BUSINESS USER'S DEALINGS WITH ITS END CLIENTS.<\/p>\r\n<p class=\"cl caps\"><strong>13.3 Cap.<\/strong> OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE <strong>12 MONTHS<\/strong> BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND <strong>ONE HUNDRED US DOLLARS ($100)<\/strong>.<\/p>\r\n<p class=\"cl\"><strong>13.4 Exceptions.<\/strong> Nothing here excludes liability that cannot be excluded by law, including for death or personal injury caused by negligence, for fraud, or, for EEA and UK consumers, under mandatory consumer protection law.<\/p>\r\n<p class=\"cl\"><strong>13.5 Indemnity.<\/strong> You will defend and indemnify Geovea against claims, damages, and reasonable legal fees arising from your User Content, your breach of these Terms or the law, your violation of a third party's rights, and, if you are a Business User, any claim by an End Client or regulator about travel services you sold, advice you gave, or itineraries you delivered. This does not apply to Consumer Users where consumer protection law prohibits it.<\/p>\r\n<h2 id=\"s14\">14. Disputes and Governing Law<\/h2>\r\n<p class=\"cl\"><strong>14.1 Talk to us first.<\/strong> Before starting any formal proceeding, email <a href=\"mailto:hello@geovea.com\">hello@geovea.com<\/a> describing the dispute and what you want. We will try in good faith to resolve it within 60 days. This is a condition of suit, except for small claims and injunctive relief over intellectual property.<\/p>\r\n<p class=\"cl\"><strong>14.2 Governing law.<\/strong> These Terms are governed by the laws of the <strong>State of Delaware<\/strong>, without regard to conflict of laws rules, excluding the UN Convention on Contracts for the International Sale of Goods. The state and federal courts in Wilmington, Delaware have exclusive jurisdiction, subject to Section 14.3.<\/p>\r\n<p class=\"cl\"><strong>14.3 Consumers outside the United States.<\/strong> If you are a Consumer User habitually resident in Canada, the EEA, the UK, or Switzerland, Section 14.2 does not remove the protection of mandatory law in your country, you may sue in the courts where you live, and we will sue you only there.<\/p>\r\n<p class=\"cl\"><strong>14.4 Time limit.<\/strong> Any claim must be brought within one year of arising, or it is barred, except where a Consumer User's local law gives a longer non waivable period.<\/p>\r\n<h2 id=\"s15\">15. Region Specific Terms<\/h2>\r\n<p class=\"cl\"><strong>15.1 Canada.<\/strong> These Terms do not limit your rights under Canadian federal or provincial consumer protection law. Quebec consumers keep their rights under the Consumer Protection Act, including on distance contracts and automatic renewals.<\/p>\r\n<p class=\"cl\"><strong>15.2 EEA and UK consumers.<\/strong> You keep the statutory rights described in Sections 5.5, 12.3, 13.4, and 14.3. Nothing here affects your rights under the Consumer Rights Directive, the Digital Content and Digital Services Directive, the UK Consumer Rights Act 2015, or equivalent law. If any term is found unfair under consumer legislation, that term does not apply and the rest stands.<\/p>\r\n<p class=\"cl\"><strong>15.3 Business Users.<\/strong> Sections 15.1 and 15.2 apply to consumers only. Business Users everywhere are subject to the full disclaimers, limitations, and dispute terms above, so far as the law allows.<\/p>\r\n<p class=\"cl\"><strong>15.4 Export and sanctions.<\/strong> You confirm you are not located in, or a national or resident of, a country under comprehensive US sanctions, and are not on a US restricted party list. You will not use or export the Services in breach of US export control or sanctions law.<\/p>\r\n<h2 id=\"s16\">16. General<\/h2>\r\n<p class=\"cl\"><strong>16.1 Privacy.<\/strong> How we handle personal information is described in our <a href=\"\/blog\/privacy-policy\/\">Privacy Policy<\/a> and <a href=\"\/blog\/cookies-policy\/\">Cookies Policy<\/a>. Personal information is processed in the United States and may be transferred to other countries where we or our providers operate, with appropriate safeguards where required.<\/p>\r\n<p class=\"cl\"><strong>16.2 Communications.<\/strong> We may send you account, billing, security, and legal notices by email or in product, and these count as writing. Marketing emails, including our Weekly Travel Ideas and Inspiration email, are optional and you can unsubscribe at any time. Unsubscribing does not stop transactional messages.<\/p>\r\n<p class=\"cl\"><strong>16.3 Changes to these Terms.<\/strong> We may update these Terms. For a material change we will give at least <strong>30 days<\/strong> notice by email or in product, and for subscriptions the change applies from your next renewal. Continuing to use the Services after the effective date means you accept the update. We keep the \"Last Updated\" date current.<\/p>\r\n<p class=\"cl\"><strong>16.4 Entire agreement.<\/strong> These Terms, the Privacy Policy, the Cookies Policy, and any order form we sign with you are the whole agreement about the Services.<\/p>\r\n<p class=\"cl\"><strong>16.5 Other.<\/strong> Our failure to enforce a provision is not a waiver. An unenforceable provision is modified or severed and the rest survives. You may not assign these Terms without our consent; we may assign them to an affiliate or in a merger, financing, or sale.
